Terms of Export

1. Global Procurement Protocol

Meridian Auto (the SUPPLIER) operates as a primary procurement entity for brand-new European vehicles. Our sourcing network secures units and fleets (30+ units) from leading manufacturers in compliance with manufacturer standards and technical requirements.

2. Financial Engagement & Deposit

Unless otherwise agreed, the PURCHASER shall provide the Supplier with a 15% Deposit payable upon acceptance of the Supplier's Proforma Invoice. All invoices are expressed in GBP and are typically zero-rated for VAT in international export scenarios where legally permitted.

3. Delivery & Incoterms

The Goods are typically delivered DDP (Delivered Duty Paid) to the desired port or final place of delivery, as specified in the individual Agreement. We manage the full logistics chain, including sea and air freight solutions, ensuring minimal transit time and maximum safety.

4. Acceptance & Inspection

All Goods are received subject to the Purchaser's prior right of inspection. The Supplier warrants that each vehicle shall have a mileage not exceeding 90km at the place of delivery and provides registration in the manufacturer's warranty system upon handover.

The Purchaser shall have a reasonable time, but not less than 5 days after inspection to notify or pay the balance. All Goods shall be received subject to the Purchaser's prior right of inspection and rejection.

5. Delivery Timeline & Cancellation

Delivery will take place by the specified Delivery Date. The Purchaser has the right to cancel the sale of Vehicles not delivered within 4 months after the Delivery Date, without liability and with immediate effect, by serving written notice to the Supplier.

The Seller shall not be held responsible for delays in shipment or non-delivery due to Force Majeure during manufacturing, loading, or transit.

6. Warranty & Liability

The Supplier warrants that all Goods are in compliance with technical specifications, international standards, and air pollution regulations. Title and risk transfer upon acceptance of the Goods by the Purchaser, as governed by our master Purchase Agreement.

The Purchaser may claim remedies including: (a) reduction in Price, (b) repair or replacement, (c) compensation for adjustment costs, or (d) other legal remedies as applicable.

7. Jurisdictional Authority

All contractual matters are governed by European law and the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the European courts, with any arbitration procedures finalized in accordance with the master Agreement.

8. Documentation Requirements

The Supplier will provide the Purchaser with all necessary information and documentation required for customs compliance, including the Certificate of Conformity (COC) stating chassis numbers. The Purchaser undertakes to accept the Goods (including original COC and invoices) within 15 days after reception of this information.

All banking charges under Telex Transfer shall be borne by the Buyer. Invoices shall be expressed in GBP and include all data and supporting documentation requested by the Purchaser.
